The board of executive officers of General Shopping e Outlets do Brasil is composed of five positions, whose occupants may or may not be shareholders, and are all residents of Brazil. And its members hold the following titles: chief executive officer, chief financial officer, investor relations officer, marketing and retail relationship officer, and planning and expansion officer. In addition to electing our executive officers, our board of directors must appoint one of the executive officers to be the investor relations officer. The individual duties of the executive officers are assigned by our directors and are described in our bylaws. Our executive officers are elected for a two-year term of office with the possibility of reelection, and they are required to remain in office until the investiture of their successors.

The executive officers are responsible for the Company's day-to-day management. The executive officers are authorized to take all actions required for the operation of the business, unless the law or the bylaws specifically delegate authority to the shareholders' meeting or the board of directors.

The board of executive officers holds mandatory meetings once a month, and may hold other meetings, as necessary. Meetings of the board of executive officers are convened by means of calls from the chief executive officer or two-thirds of the officers and only if a majority of the officers are present. Under the bylaws, decisions of the board of executive officers are taken by a majority vote of the officers attending a meeting or sending their votes as set forth in the bylaws taking into account any temporary absenses and vacancies. The chief executive officer has the right to cast a tie-breaking vote in the case of a deadlock.

Professional Background: He has been with the General Shopping Group since 1989. He participated in the management and implementation of the group's first venture, Poli Shopping de Guarulhos. From 1999 to 2005 he worked at Internacional Shopping Guarulhos as Administrative / Financial Manager and Superintendent. He held the position of Commercial Director from 2006 to 2015 and 2017 to 2019. He held the position of Marketing and Relationship Officer from 2015 to 2017, to which he was elected again in 2019. He started to hold the CEO position in 2024.

Degree in Business Administration from Universidade Presbiteriana Mackenzie in 1998.

Professional Background: He served as director at CSA – Companhia Securitizadora de Ativos, Investor Relations Manager at General Shopping Brasil S.A. from 2007 to 2011 and Investor Relations Superintendent from 2011 to 2015. He holds the position since 2015.

Degree in Business Administration from PUC São Paulo - 1984. Graduate study in Financial Management from SPEI Curitiba – 1992 and MBA in Finance from Ibmec Sao Paulo – 2004.

Professional Background: 1980 – 1993 – Senior Office Assistant, Senior Inventory Analyst, Financial Analyst and Price Coordinator at Ford Motors, Ford New Holland – FIAT – Sao Paulo and Curitiba; 1993 – 1997 – Controller and Financial Director at Sterling Software – Sao Paulo; 1997 – 2013 – Administrative and Finance Director at Sybase, a SAP company in Sao Paulo. He holds the CFO position since 2013. In 2024 he started to hold the Planning and Expansion Officer position.
